Terms and Conditions

Definitions: Our terms have the following meanings:
(a) "The Client" means any person, company, partnership, organisation or body at whose application, Zenipher Media agrees to provide the products and/or services under our terms and conditions.
(b) "The Agreement" means this contractual document between Zenipher Media and the Client to which these conditions will apply.
(c) "Deliverables" are the outputs of services to be supplied under this agreement and shall include but are not limited to, all software and written material, print products and other documents.

Scope: Agreement shall apply to all products and/or services listed in a quotation as requested by the client from Zenipher Media.

Payment: A deposit payment of 50% of the total fee is due on the signed acceptance of a quotation and commencement of the design project, unless otherwise agreed, in which case payment is due upon completion of design project. Whilst any payment due under the agreement remains outstanding, Zenipher Media shall be entitled at its sole and absolute discretion to withhold provision of any products or services it would otherwise be obliged to provide under the agreement. All payments by cheque, bankers draft or money order must be made in pounds sterling.

Liability: Zenipher Media hereby excludes itself, its Employees and or Agents from all and any liability for loss or damage caused by any inaccuracy; omission; delay or error as a result of negligence or other cause that is found to be the responsibility of the Client during the production process.

Copyright: Any product produced by Zenipher Media carries a copyright, and cannot be reproduced without written consent. The signed acceptance of a quotation by the client or other person/Agency on behalf of the client constitutes a guarantee that all necessary authority and permissions have been obtained in respect of the artwork, design and photographs, for use in the project. The Advertiser/customer must indemnify Zenipher Media in respect of all actions; proceedings; costs demands and claims arising from any such breach.

Delivery: on completion of work, the design project deliverables will be delivered to the client. With respect to a website deliverable where the client's website is being hosted by a third party, Zenipher Media reserves the right to delay uploading or 'hand over' of deliverables until full payment has been received.

Deposit Refunds: cancellations must be made in writing within 3 days of the client viewing the 1 draft visual of the design project otherwise no refund can be considered. Cancellations made within 3 days, may be subject to a charge, if expenses have been incurred in respect of additional expenses from third parties including but not limited to: stock photography; software purchases; domain name registration. Where possible third party products will not be purchased until the design has been approved.

Acceptance of Conditions: the signed acceptance of a quotation will confirm acceptance of the aforementioned conditions.
